I. General information

  1. Foreword

These general terms and conditions of sale apply to all orders received by a2z accessories ltd , which are placed by professionals, merchants or companies. They prevail over all other conditions, in particular the customers’ general terms and conditions of purchase. Any order automatically implies acceptance of these general conditions, as well as any other special conditions specified at the time of the order. Any order placed with the company is firm and final. The information contained in the catalogues, notices, prices, and pro-formas are given for information purposes only, the seller may change them at any time and without notice. The parties to the contract are informed that these general terms and conditions of sale are regularly updated and can be consulted at www.axocom.fr and that it is your responsibility to consult them regularly before placing any orders with a2z accessories ltd. Unless a2z accessories ltd expressly terminates the GTCs at the end of the calendar year, these conditions will be tacitly renewed for the following year and will be applicable to the parties.

  1. Characteristics of the goods and services offered

The products and services offered are those listed on the website www.axocom.fr, in the catalogue in computer and/or paper format.

The photographs of the products in the catalogue and website are as accurate as possible but cannot ensure perfect similarity with the product offered, particularly with regard to colours.

a2z accessories ltd presents the products for sale with the necessary characteristics to comply with Article L 111-1 of the Consumer Code, which provides for the potential consumer to know the essential characteristics of the products he wishes to purchase before placing a final order.

  1. Acceptance of the order

Orders placed by telephone, e-mail, fax or via the a2z accessories ltd website are binding on the customer upon receipt. As a2z accessories ltd is a distribution company, it is up to the customer to define his needs and check the compatibility of the products ordered. Customers can order through the a2z accessories ltd website which is available to them; this service is free of charge. Identifiers and access codes are strictly confidential and must under no circumstances be given to third parties. The customer is solely responsible for the management of these accesses and in the event of usurpation of access, a2z accessories ltd declines all responsibility.

In the event of an error in the transcription (display) of prices on the a2z accessories ltd website, the sale will be deemed not to have been concluded at the incorrect price. The customer will receive an order correction (before or after the delivery of the goods, in order to regularize the error in the price display). The customer must validate the corrigendum with Revolutech21 upon receipt of it. a2z accessories ltd reserves the right, as from the receipt of the order in any form whatsoever, to accept it, to express reservations or reject it. The unavailability of a product, due either to a stock shortage, or to its deletion from our catalogue, or to the discontinuation of the product by the manufacturer, will not lead to any cancellation of the global order and will not entitle a2z accessories ltd to any compensation. Only available products will therefore be delivered and invoiced. Since a2z accessories ltd does not manage the remaining products, the unavailable products will be considered as definitively deleted from the order, the customer is responsible for instructing a2z accessories ltd to replace it, or not, with another product of its choice and to modify the initial order accordingly.

  1. Methods of payment

Unless expressly agreed otherwise, specified in the special conditions of the invoice, full payment is due at the time of order. The payment terms granted to the buyer are mandatory and may under no circumstances be extended without the seller’s written consent.

The payment is made:

– Or by credit card using the secure system using the SSL (Secure Socket Layer) protocol, so that the information transmitted is encrypted by software and no third party can access it during transport on the network.

– Either by bank transfer in advance to our bank account, details available on the payment page.

– Or in cash delivered by hand against receipt within the limits of the amounts provided by law.

In the case of payment by credit card, the Purchaser’s account is debited as soon as the order is confirmed. When the items are delivered, the invoice is attached to the items delivered.

Despite all the care taken by a2z accessories ltd to supply its stocks, an item may become unavailable between the time the order is placed and the time it is prepared. In the event that it is impossible to honour all or part of the order, the Purchaser’s account is first debited with the total amount of the invoice and then the amount of undelivered items will be credited to the Purchaser’s account within 48 hours. a2z accessories ltd then systematically notifies the Purchaser by email.

In the event of non-payment of an invoice on its due date, we reserve the right to increase its amount by 10% with a minimum of €40 without prejudice to the default interest provided for in Article 12.

When the buyer’s credit deteriorates, we reserve the right, even after partial shipment of an order, to require the buyer to provide the guarantees we consider appropriate for the proper performance of the commitments made.

Refusal to comply with it gives us the right to cancel all or part of the contract.

II.  Shipping & Returns

  1. Delivery terms and conditions

Delivery: Delivery times are given as an indication. a2z accessories ltd cannot therefore be held liable under any circumstances in the event of non-compliance with these deadlines.

Any delays can under no circumstances justify a total or partial cancellation of an order or serve as a basis for any claim for compensation, or for the application of late penalties by the customer. In particular, in the event of a delay due to the carrier for any reason whatsoever (absence on delivery, transport delay, temporarily lost parcel, etc…) the dispute must be settled directly between the customer and the carrier.

Upon receipt of the products the customer is required to check the completeness and conformity of his order, the number of packages, the contents of the packages, the condition of the packaging. Any anomaly concerning the delivery (missing product compared to the delivery note, damaged packaging, damage, broken products,…) must be noted by the customer in the form of clear, precise and complete handwritten reservations on the transport note, and this in the presence of the carrier. The customer and the carrier will date and sign the reservations made. If the carrier refuses to sign the reservations, the customer must notify this in writing on the transport voucher and keep a copy of these reservations. In accordance with Article L133-3 of the French Commercial Code, the customer must confirm by registered letter with acknowledgement of receipt any delivery anomalies within three days of delivery in order to confirm the said claims with the carrier. Any complaint relating to the equipment ordered and delivered must also be stipulated within 24 hours by registered letter with acknowledgement of receipt to a2z accessories ltd

If the customer refuses delivery of the products and has not reported any discrepancies on the transport voucher, this will be considered an abusive refusal. a2z accessories ltd reserves the right to claim compensation for expenses incurred of at least 100 euros excluding VAT.

  1. Receipt of goods

Goods delivered in accordance with the order are neither returned nor exchanged.

Any complaint must be made first by telephone within 24 hours of receipt of the order and then by registered letter, otherwise it will be inadmissible within 8 days of receipt of the goods.

If the complaint is justified, the non-conforming goods will be exchanged or, if this is not possible, a credit note will be issued.

III. Applicable Guarantee

The warranty applicable to the products sold is that of the manufacturer. After-sales service is provided by the manufacturer or authorised repairers.

IV. Retention of title clause

The goods will remain the exclusive property of the seller until full payment has been made.
Only collection, and not the delivery of means of payment, is equivalent to a payment involving a transfer of ownership to the buyer. The buyer shall, however, bear the risk of loss, damage and disappearance of the goods as soon as the goods are delivered, even in the event of force majeure or by a third party.

A2Z ACCESSORIES LTD may under no circumstances be held liable for any breach of its contractual obligations in the event of force majeure for the following events, although their list cannot be exhaustive: internal or external strikes, disasters, delays in our supply and, in general, any event affecting and making normal execution of orders impossible.
